	Software License Agreement
										
											This is a legal document between you and the licensor of this SOFTWARE, Canon 
  U.S.A., Inc., or Canon Inc., as the case may be, (each, "Canon"). 
  Before clicking "AGREE" and starting to download the SOFTWARE ("SOFTWARE"), 
  please carefully read the terms and conditions of the License Agreement, which 
  govern your use of the SOFTWARE. You may not download or install the SOFTWARE 
  until you have read and accepted the terms of this License Agreement. If you 
  cannot or do not accept the terms and conditions of this License Agreement, 
  click "DO NOT AGREE" at the bottom of this page and quit this download 
  program.
GRANT OF LICENSE: Canon grants you the personal, non-exclusive right to use 
  the SOFTWARE only on a single computer. You may physically transfer the SOFTWARE 
  from one computer to another provided that the SOFTWARE is used on only one 
  computer at any time.
You must not assign, sublicense, sell, rent, lease, loan, convey or transfer 
  the SOFTWARE to any third party, or send or bring the SOFTWARE out of the country 
  where you originally obtained it to other countries (except as permitted by 
  applicable law), or copy, duplicate, translate or convert the SOFTWARE or accompanying 
  documentation to another programming language, except as expressly provided 
  herein. 
Except as expressly permitted by applicable law, you must not, and must not 
  cause third parties to, alter, modify, disassemble, decompile or otherwise reverse 
  engineer the SOFTWARE or accompanying documentation. 
BACK-UP COPY: You may make one copy of the SOFTWARE solely for back-up purposes 
  or copy the SOFTWARE to a permanent storage device (e.g. a hard disk) of your 
  computer and retain the original for back-up purposes. Except as expressly permitted 
  under applicable law, any other copying of the SOFTWARE is a violation of this 
  Agreement. You must reproduce and include the copyright notice on the back-up 
  copy. 
SUPPORT AND UPDATE: Neither Canon, its parent, subsidiaries, or affiliates, 
  nor their respective distributors or dealers, are responsible for maintaining 
  or helping you to use the SOFTWARE. No updates, fixes or support will be made 
  available for the SOFTWARE. 
LIMITED WARRANTY AND DISCLAIMER OF INDEMNITY: It is your responsibility to 
  choose, maintain and match the hardware and software components of your computer 
  system. Thus, neither Canon, its parent, subsidiaries, or affiliates, nor their 
  respective distributors or dealers, will guarantee uninterrupted service, the 
  absence or correction of errors, or that the functions or performance of the 
  SOFTWARE will meet your requirements. 
Therefore, the SOFTWARE is licensed on an "AS IS" basis without warranty 
  of any kind, express or implied. 
CANON, ITS PARENT, SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE DISTRIBUTORS 
  AND DEALERS, DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING ANY WARRANTY OF MERCHANTABILITY 
  OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE OR ACCOMPANYING 
  DOCUMENTATION. 
NEITHER CANON, ITS PARENT, SUBSIDIARIES, AFFILIATES, OR THEIR RESPECTIVE DISTRIBUTORS 
  OR DEALERS, ARE LIABLE FOR ANY LOSS OR DAMAGE INCLUDING CONSEQUENTIAL OR INCIDENTAL 
  LOSS OR DAMAGE SUCH AS LOSS OF PROFITS, EXPENSE OR INCONVENIENCE, WHATSOEVER 
  CAUSED BY OR ARISING OUT OF THE SOFTWARE, ACCOMPANYING DOCUMENTATION OR THE 
  USE THEREOF. 
CANON, ITS PARENT, SUBSIDIARIES AFFILIATES AND THEIR RESPECTIVE DISTRIBUTORS 
  AND DEALERS, SHALL HAVE NO OBLIGATION TO INDEMNIFY YOU IN CONNECTION WITH ANY 
  CLAIM OR SUIT BY A THIRD PARTY ALLEGING THAT THE SOFTWARE, ACCOMPANYING DOCUMENTATION 
  OR THE USE THEREOF INFRINGES ANY INTELLECTUAL PROPERTY OF SUCH THIRD PARTY. 

THE ABOVE CONSTITUTES THE ENTIRE LIABILITY OF CANON, ITS PARENT, SUBSIDIARY, 
  AFFILIATES AND THEIR RESPECTIVE DISTRIBUTORS AND DEALERS, AND YOUR EXCLUSIVE 
  REMEDY IN CONNECTION WITH THE SOFTWARE AND ACCOMPANYING DOCUMENTATION. 
TERM: You may terminate this Agreement by destroying the SOFTWARE and any copy 
  thereof. This Agreement will also terminate if you fail to comply with any term 
  of this Agreement. Upon such termination, you must promptly destroy the SOFTWARE 
  and any copy thereof. 
U.S. GOVERNMENT RESTRICTED RIGHTS NOTICE: The SOFTWARE is provided with RESTRICTED 
  RIGHTS. Use, duplication or disclosure is subject to restrictions as set forth 
  in either subparagraph (c) (1) (ii) of the Rights in Technical Data and Computer 
  Software clause at DFARs 252.227-7013 or subparagraph (c) (l) and (2) of the 
  Commercial Computer Software Restricted Rights Clause at FAR 52.227-19, as applicable.

<p>EXPORT CONTROLS: The SOFTWARE is further subject to United States Export Controls. 
  The SOFTWARE may not be downloaded or exported (i) into (or to a national or 
  resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other country 
  to which the United States has embargoed goods; or (ii) to anyone on the United 
  States Treasury Department's list of Specially Designated Nationals or using 
  the Commerce Department's Table of Deny Orders. By downloading the SOFTWARE, 
  you represent and warrant that you are not located in, or under the control 
  of, or a national or resident of any such country or on any such list.
SEVERABILITY: In the event that a provision of this Agreement is declared or 
  found to be illegal by any court or tribunal of competent jurisdiction, such 
  provision shall be void with respect to the jurisdiction of that court or tribunal 
  and all the remaining provisions of this Agreement shall remain in full force 
  and effect.
CONTROLLING LAW: The terms of this Agreement will be governed and construed 
  in all respects in accordance with the laws and regulations of the State of 
  New York, without reference to choice of law principles. You agree that any 
  litigation, action or proceeding relating to this Agreement must be instituted 
  in any state or federal court in the State of New York, and you waive any objection 
  which you may have with respect to jurisdiction, venue or forum. 
OWNERSHIP: All rights, including but not limited to copyrights and trade secret 
  rights, to the SOFTWARE belong to Canon, its parent, subsidiaries, affiliates 
  and third party licensors. Your use of the SOFTWARE is subject to the laws of 
  the United States, and other applicable copyright and trademark laws, and nothing 
  in this Agreement constitutes a waiver of the rights of Canon, its parent, subsidiaries, 
  affiliates and third party licensors under such laws. Except as expressly provided 
  herein, no license or right, express or implied, is hereby conveyed or granted 
  by Canon to you for any intellectual property of Canon. </p>
You may not modify, remove or delete any or all copyright notices (i) which 
  are contained in the Software, including any copy thereof, and on the medium 
  of a back-up copy made pursuant to Section 2 above.
