Terms of Use
By choosing to use any of the products, services, solutions (including cloud services and solutions), software, websites, subsites, interactive features, or forms offered, owned, or operated by Canon U.S.A. (collectively, the “Services”) which displays, links to, or is otherwise governed by these Canon U.S.A., Inc. Terms of Use (the “Terms of Use”), you agree to accept these Terms of Use.
The Services are intended for use by individuals residing and located in the United States.
Services may have their own terms of use that you will need to agree to separately. If you are a user of a service that does not link to these Terms of Use, refer to the terms of use linked to that service.
These Terms of Use constitute a legally binding contract in electronic form between you ("you," "your," and "yourself") and Canon U.S.A., Inc. ("Canon U.S.A.,” "we," "us," and "our").
PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING ANY CANON U.S.A. SERVICES, AS THESE TERMS OF USE AFFECT YOUR LEGAL RIGHTS. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU CANNOT USE THE SERVICES.
For information about the types of personal information we collect from you when you use the Services, and how that information is used and disclosed, please see the Privacy Policy (for U.S. Residents) if you are a Canon U.S.A. consumer, such as a Canon ID account holder. If you are a California job applicant, former employee, or B2B user of a Service that links to the Privacy Policy for California B2B Users, Job Applicants, and Former Employees, please refer to the Privacy Policy for California B2B Users, Job Applicants, and Former Employees. If you are a B2B user of a Service that does not link to the Privacy Policy for California B2B Users, Job Applicants, and Former Employees, please refer to the privacy policy linked to that service. If you are a California current employee of Canon U.S.A., please contact your Human Resources representative to obtain a copy of the applicable privacy policy.
In order to use the Services, you need to: (a) be 18 or older, and (b) have the power to enter a binding contract with us.
We may, in our discretion, change, suspend, or discontinue any aspect of the Services at any time, including the availability of any Services, features or content. We may also impose limits on certain Services or restrict your access to parts or all of the Services.
Occasionally we may, in our discretion, make changes to these Terms of Use. Changes will be effective immediately upon the posting of the revised Terms of Use to the Services. In the event we make material changes to these Terms of Use, we will notify you prior to the changes taking effect. Please note that if you do not agree to the modified Terms of Use, you may not use the Services. Your continued use of the Services following the posting of the changes, or any applicable notice period will mean that you accept those changes.
When you use the Services, you are communicating with us electronically and you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
Other than personal information, which is covered in the applicable privacy policy, as noted above, any reviews, comments, questions, ideas, suggestions, photos, and other material you send or post using the Services ("User Generated Content") is considered non-confidential and non-proprietary. Canon U.S.A. will have no obligations with respect to User Generated Content. Unless otherwise provided by Other Agreements (as defined below) that you may enter into with Canon U.S.A., you acknowledge that any User Generated Content may be used, edited, removed, modified, published, transmitted or displayed by Canon U.S.A. and its designees, without notice to you, and you waive any rights you may have in having the material altered or changed in a manner not agreeable to you. User Generated Content submitted to the Services may also be included in our RSS (Really Simple Syndication) feeds and APIs (Application Program Interfaces) and made available for republishing through other formats.
Unless otherwise provided by Other Agreements that you may enter into with Canon U.S.A., by posting, uploading, adding, communicating, storing, or otherwise transmitting User Generated Content on, to, or through the Services, you understand and agree that you are giving Canon U.S.A. and its designees a royalty free, irrevocable, perpetual, non-exclusive, and fully sublicensable license to edit, alter, broadcast, post, publish, copy, disclose, distribute, perform, create derivative works from, incorporate and otherwise use the User Generated Content and images, sounds, text, and other things embodied therein, for any and all purposes, including commercial, promotional, or marketing purposes throughout the world in any form, medium, or technology. You also agree that Canon U.S.A. has no obligation to use any idea or material contained in User Generated Content and you have no right to compel such use.
You agree that none of your User Generated Content will include material that:
- is unlawful, threatening, libelous, defamatory, indecent, obscene, pornographic, abusive, or that may violate any law;
- could interfere with anyone else's use of the Services;
- encourages or incites anyone to break the law;
- violates the rights of any third party, including copyrights, other property rights, or rights of privacy;
- includes personal or sensitive information regarding yourself or another person;
- contains malware, viruses, spyware, or any other harmful or malicious, or potentially harmful or malicious, software or files;
- is uploaded using automated means or tools;
- contains false or misleading statements of fact or descriptions of the origin of the material or the communication; or
- misrepresents your identity, affiliation, or status.
No Obligation to Monitor
You are solely responsible for the User Generated Content you send or post using the Services. While we are not responsible for the content of User Generated Content, or for monitoring User Generated Content submissions, if we become aware of User Generated Content that violates these Terms of Use or that we believe to be obscene, lewd, lascivious, violent, harassing, or otherwise objectionable, we may, without notice to you and in our sole discretion, delete, move, edit, or otherwise restrict access to or availability of this material, or may take such other action as we deem necessary.

Internet transmissions are never completely private or secure. You understand that any User Generated Content that you send to Canon through the Services may be read or intercepted by others. By sending User Generated Content to Canon U.S.A., you release Canon U.S.A. of any duty or obligation we might otherwise have to review or act in response to the User Generated Content and of any duty or obligation that we might otherwise have to you in connection with any action we take in response to your User Generated Content.
Unsolicited Ideas
Canon U.S.A. and the Canon group companies, including their subsidiaries and affiliates, have been actively engaged in research and development in diversified scientific and business areas for many years. In order to protect the interests of Canon U.S.A. and the Canon group companies in the ideas and information that have been conceived or developed internally, Canon U.S.A. and the Canon group companies do not solicit ideas, inventions, work samples, materials, demos, and the like or agree to receive any ideas from persons or entities outside Canon U.S.A. and the Canon group companies. Canon U.S.A. and the Canon group companies maintain a strict policy of not accepting or considering any creative ideas, suggestions, or materials from the public ("Unsolicited Ideas") and therefore you should not submit any Unsolicited Ideas through the Services or otherwise. Canon U.S.A. and the Canon group companies do not wish to receive Unsolicited Ideas from you and have expressly advised you not to submit them. If you intend to submit Unsolicited Ideas, we strongly recommend that you first consult an attorney in order to evaluate the effect that such a submission would have on any of your rights.
Nonetheless, if you do send Canon U.S.A. or the Canon group companies Unsolicited Ideas that is are already protected by a United States patent or are not public information, such ideas immediately become the property of Canon U.S.A. and the Canon group companies. By submitting Unsolicited Ideas, you agree to convey your ownership interest in the Unsolicited Ideas to Canon U.S.A. and the Canon group companies, and Canon U.S.A. and the Canon group companies will exclusively own all rights, title, and interest therein. Furthermore, Canon U.S.A. and the Canon group companies and their respective designees will be free to use, without any compensation to you whatsoever, any concepts, ideas, know-how or techniques contained in any Unsolicited Ideas for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products using such information. Neither Canon U.S.A. nor the Canon group companies will be liable for such use or disclosure of such Unsolicited Ideas or for any similarities in the Unsolicited Ideas and any future uses or activities.
You agree that your use of the Services will comply with applicable laws, and unless otherwise expressly permitted by Other Agreements, you agree that your use of the Services will strictly be for your own personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services. In addition, you agree not to take any steps in connection with your use of the Services that could violate these Terms of Use, including engaging in or attempting to engage in the following conduct:
- interrupting or interfering with the operation of the Services in any manner whatsoever, including by imposing an unreasonable load on the Services or on any servers or networks utilized for the provision of the Services;
- deleting or revising any material or other information of any other user, Canon U.S.A., any Canon group company, or any third party;
- harvesting, data mining, or otherwise collecting information about others, without their consent;
- deciphering, decompiling, disassembling, or reverse engineering any of the software comprising or in any way making up a part of the Services;
- posting advertisements or solicitations of business other than those explicitly approved by Canon U.S.A.;
- defeating, investigating, or providing information concerning methods of defeating security mechanisms, including by allowing another person to access the Services using credentials issued to you, or by falsifying, deleting, or concealing Internet Protocol header, email sender, or other identifying information; or
- engaging in conduct that harms, restricts, inhibits, or discourages any other person or entity from using or enjoying all or any portion, features, or functions of the Services.
Canon U.S.A. may take any action that it deems appropriate if it determines, in its exclusive discretion, that you have engaged in any of these practices or otherwise violated these Terms of Use. Such action may include termination of your access to the Services or initiation of civil or criminal legal proceedings. Under these circumstances, Canon U.S.A. may also investigate your use of the Services and provide information about your use to law enforcement.
Copyright
All content and materials on the Services, including but not limited to, text, photographic and non-photographic images, illustrations, graphics, designs, software, audio, and video clips, the “look and feel” of the Services, and metadata (the "Materials"), are protected by copyright under U.S. copyright law, international conventions, and other copyright laws. All Materials are owned or licensed by Canon U.S.A., the Canon group companies, or by their third-party licensors. You cannot use the Materials, except as specified herein. Any unauthorized use of the Materials may violate, without limitation, copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes. You may not change the Materials in any way or reproduce, publicly display, distribute, or otherwise use the Materials for any public or commercial purpose. Any reproduction of the Materials on any other website or networked computer environment for any purpose is prohibited.
Trademarks
Canon U.S.A. trademarks, logos, and service marks and those trademarks, logos, and service marks licensed to Canon U.S.A. by Canon Inc. (collectively, the "Trademarks") displayed on the Services are registered and unregistered marks of Canon U.S.A. or Canon Inc. All other trademarks, trade names, product names, service marks and all other non-Canon U.S.A. marks are the property of their respective owners. Nothing contained on the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Services without the written permission of Canon U.S.A., Canon Inc., or such third party that may own other trademarks displayed on the Services. The absence of a product or service name or logo anywhere in the text of the Services does not constitute a waiver of any trademark or other intellectual property rights concerning that name or logo.
If you believe in good faith that your copyrighted work has been reproduced on or linked from the Services without authorization in a way that constitutes copyright infringement, please provide Canon U.S.A.’s designated copyright agent with the following information:
- identification of the copyrighted work claimed to have been infringed;
- identification of the allegedly infringing material on the Services that is requested to be removed;
- your name, address and daytime telephone number, and an email address if available, so that Canon U.S.A. may contact you if necessary;
- a statement that you have a good-faith belief that the use of the copyrighted work is not authorized by the copyright owner, its agent, or the law;
- a statement that the information in the notification is accurate, and under penalty of perjury, that the signatory is authorized to act on behalf of the owner of an exclusive copyright right that is allegedly infringed; and
- an electronic or physical signature of the copyright owner or someone authorized on the owner's behalf to assert infringement of copyright and to submit the statement.

This contact information is only for suspected copyright infringement. Contact information for other matters is provided elsewhere on the Services. Upon receipt of such a notice of claimed infringement (or any statement in conformance with 17 U.S.C. § 512(c)(3)), Canon U.S.A. will act expeditiously to remove or disable access to any content that is claimed to be infringing upon the copyright of any person under the laws of the United States, and may terminate the Services of any party who infringes on the copyright of others. United States law imposes substantial penalties for falsely submitting a notice of copyright infringement.
Certain areas of the Services may offer the opportunity to register or create an account. You may be asked to create a user ID and password in connection with such an account. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. Canon U.S.A. cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.
If Canon U.S.A. requests that you provide information about yourself in connection with your creation of an account, you agree that the information that you provide will be entirely truthful and accurate. If the information that you provide to Canon U.S.A. changes, you agree to promptly provide updated information.
If you have a Canon ID account, your use of the Canon ID account is governed by the Canon ID Terms of Use and the Privacy Policy (for U.S. Residents). Please log into your Canon ID account if you would like to manage your Canon ID account.
Canon U.S.A. and the Canon group companies may provide products (such as hardware or software), services and solutions, including cloud services and solutions, or access to subsites/microsites of the Services under dealer agreements, reseller agreements, supplemental terms, and other agreements and/or terms of use (collectively, “Other Agreements” and each an “Other Agreement”). The obligations of Canon U.S.A. or the Canon group companies with respect to any product, service, solution, or access made available to you under any Other Agreement shall be governed solely by the Other Agreement under which such product, service, solution, or access is provided and these Terms of Use shall not be deemed or construed to alter the terms of such Other Agreement. In the event of any inconsistency between these Terms of Use and any Other Agreement, the Other Agreement will control, except that nothing in any Other Agreement may limit (a) Canon U.S.A.’s disclaimer of warranties, (b) your agreement to indemnify Canon U.S.A. and the Canon group companies, or (c) the licenses you grant to Canon U.S.A. or other intellectual property right.
These Terms of Use govern your access to and use of the Services. However, you acknowledge and agree that purchases made through the Services may be governed by any Other Agreement, such as Terms of Sale, as applicable.
Any software that is available on the Services ("Software") is the copyrighted work of Canon U.S.A., Canon group companies and their respective licensors. Use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software (“license agreement”). Copying or reproducing the Software to any other server or location for further reproduction or redistribution is strictly prohibited, unless such reproduction or redistribution is permitted by the license agreement accompanying such Software. You may not create derivative works of the Software or attempt to decompile or reverse-engineer the Software unless otherwise permitted by law. You may not download any Software until you have read and accepted the terms of the accompanying license agreement.
WITHOUT LIMITING THE FOREGOING, THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE LICENSE AGREEMENT ACCOMPANYING THE SOFTWARE. EXCEPT AS WARRANTED IN SUCH LICENSE AGREEMENT, CANON U.S.A., THE CANON GROUP COMPANIES, AND THEIR RESPECTIVE LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SOFTWARE, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
U.S. Government Restricted Rights
The Software available on the Services and accompanying documentation that is downloaded from the Services for or on behalf of the United States of America, its agencies and/or instrumentalities are provided with Restricted Rights. You agree to meet all requirements necessary to ensure that the Federal Government will honor such rights. Disclosure, use and reproduction of the Software and accompanying documentation are subject to restrictions set forth at Federal Acquisition Regulation 52.227-19, when applicable, or in the Department of Defense Federal Acquisitions Regulations Supplement 252.227-7013.
Export Controls
Canon technologies, products, services, and solutions are subject to export and re-export control laws, regulations, and restrictions, including but not limited to the Export Administration Regulations (EAR) Parties licensing Software or purchasing products, services, or solutions from Canon are responsible for obtaining all licenses or other authorizations or approvals necessary for the export, re-export, transfer or use of such items that are subject to export control laws, regulations or restrictions, as well as for complying with all applicable export compliance laws, regulations, and restrictions. No Software available on the Services may be downloaded, exported, re-exported, or transferred (i) into (or to a national or resident of) any country to which the United States has embargoed goods; or (ii) to anyone on the United States Treasury Department's list of Specially Designated Nationals or the United States Department of Commerce’s Denied Persons List. By downloading any Software, you represent and warrant that you are not located in, or under the control of, or a national or resident of any such country or on any such list. Non-compliance with export control laws, regulations, and restrictions can result in significant civil and/or criminal penalties.
Canon U.S.A. may offer products and services that you may choose to purchase, download, or access on your mobile device, such as a mobile phone (the "Mobile App Services"). These Mobile App Services are governed by the terms of the Mobile App Service and your wireless carrier and certain restrictions may apply.
Subsites/Microsites
In order to access certain portions of the Services, which may include "subsites" or “microsites,” you may be asked to enter into a supplemental agreement with the owner of that subsite or microsite. You will be asked to review any such Other Agreement and agree to it before accessing the subsite or microsite, or using its services. Both these Terms of Use and the Other Agreements will govern your use of the subsite or microsite. In the event of any inconsistency between these Terms of Use and the Other Agreements, the Other Agreements will control, except that nothing in the Other Agreements may limit (a) Canon U.S.A.’s disclaimer of warranties, (b) your agreement to indemnify Canon U.S.A. and the Canon group companies, or (c) the licenses you grant to Canon U.S.A. or other intellectual property.

Mention of third-party products, companies and websites on the Services is for informational purposes only and constitutes neither an endorsement nor a recommendation by us. Canon U.S.A. makes no representations regarding the quality, safety, or suitability of any products by third party companies. Links to third party sites are provided for your convenience only, and Canon U.S.A. is not responsible for the content of any site linked to or from the Services. Canon U.S.A. disclaims all warranties, express or implied, as to the accuracy, legality, reliability, or validity of any content on any other site. Viewing or accessing of all other sites is at your own risk.
Integrated Third Party Tools
Canon U.S.A. uses integrated tools and features, including API (Application Programming Interface) clients, from YouTube API Services, which may be accessed via videos through links on our websites. By using, playing or downloading such integrated tools and features, including API clients, you agree to be bound by the YouTube Terms of Service.
The Services may include contests, sweepstakes, or other promotions ("Promotions") that offer prizes or require you to send in material or information about yourself. Each Promotion has its own rules, which you must read and agree to before you may enter.
Terms of Sale
These Terms of Use govern your access to and use of the Services. You acknowledge and agree that your rights and responsibilities regarding purchases made through the Services will be governed by such other terms and conditions as provided in the applicable terms of sale. In the event there is a conflict between these Terms of Use and the terms provided in an applicable terms of sale, the terms of sale shall control.
Pricing
We cannot confirm the price or availability of an item until you order. We try to be as accurate as possible. However, despite our best efforts, a small number of the items available for sale or lease may not be available, the offer may have been misstated or expired, or an item may be mispriced. The correct price for any item will appear in your shopping cart before you check out. Please be sure to verify the price for your purchase in your cart before submitting payment.
Availability of Products and Services
The products and services displayed on the Services may not be available for purchase everywhere. The reference the Services does not imply or warrant that these products or services will be available at any time in your particular location, or at the price or terms displayed on the Services. SUCH INFORMATION DOES NOT CONSTITUTE A REPRESENTATION, WARRANTY, OR OTHER COMMITMENT BY CANON U.S.A. WITH RESPECT TO ANY PRODUCT OR SERVICE AND CANON U.S.A. NOR THE CANON GROUP COMPANIES MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER: (1) FOR THE ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR COMPLETENESS THEREOF, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR ANY USER GENERATED CONTENT OR MATERIALS PUBLISHED ON OR AVAILABLE THROUGH THE SERVICES; (2) THAT THE SERVER THAT MAKES THE SERVICES AVAILABLE IS FREE OF VIRUSES OR OTHER COMPONENTS THAT MAY INFECT, HARM OR CAUSE DAMAGE TO YOUR COMPUTER EQUIPMENT OR ANY OTHER PROPERTY WHEN YOU ACCESS, BROWSE, DOWNLOAD FROM, OR OTHERWISE USE THE SITE; (3) THAT CANON U.S.A. FOR YOUR CONVENIENCE, THE CANON GROUP COMPANIES MAY MAKE AVAILABLE AS PART OF THE SERVICES OR IN ITS SOFTWARE PRODUCTS, TOOLS AND UTILITIES FOR USE AND/OR DOWNLOAD. THE CANON GROUP COMPANIES DOES NOT MAKE ANY ASSURANCES WITH REGARD TO THE ACCURACY OF THE RESULTS OR OUTPUT THAT DERIVES FROM SUCH USE OF ANY SUCH TOOLS OR UTILITIES. PLEASE RESPECT THE INTELLECTUAL PROPERTY RIGHTS OF OTHERS WHEN USING THE TOOLS AND UTILITIES MADE AVAILABLE ON THE SERVICES OR IN CANON SOFTWARE PRODUCTS.
OTHER USERS OF THE SERVICES MAY SUBMIT USER GENERATED CONTENT ORCOMMUNICATIONS IN A WAY THAT IS PUBLICLY ACCESSIBLE, AND CANON U.S.A. CANNOT PREDICT THE USER GENERATED CONTENT OR COMMUNICATIONS THAT USERS POST. CANON U.S.A. DOES NOT WARRANT OR REPRESENT THAT THE USER GENERATED CONTENT ON THE SERVICES WILL BE APPROPRIATE FOR ANY PARTICULAR AUDIENCE OR THAT YOU WILL NOT BE HARMED BY VIEWING THE CONTENT ON THE SERVICES. YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR DECISION TO ACCESS IT.
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, CANON U.S.A.'S NEGLIGENCE OR GROSS NEGLIGENCE, WILL CANON U.S.A., THE CANON GROUP COMPANIES, OR ANY OTHER PARTY INVOLVED IN CREATING, HOSTING OR DELIVERING THE SERVICES, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR OTHER DAMAGES WHATSOEVER ARISING OUT OF YOUR ACCESS TO, OR USE OF, THE SERVICES, YOUR RELIANCE ON OR USE OF INFORMATION OR SERVICES PROVIDED ON OR THROUGH THE SERVICES, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES, ERRORS, DEFECTS, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, EVEN IF CANON U.S.A., THE CANON GROUP COMPANIES, OR SUCH OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PLEASE NOTE THAT SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR CONDITIONS, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. CANON U.S.A., THE CANON GROUP COMPANIES, AND THEIR RESPECTIVE LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS AND IMPLIED, TO THE GREATEST EXTENT PERMITTED BY LAW. CANON U.S.A., THE CANON GROUP COMPANIES, AND THEIR RESPECTIVE LICENSORS ALSO ASSUME NO RESPONSIBILITY, AND WILL NOT BE LIABLE FOR, ANY DAMAGE TO OR VIRUSES THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY, OR FOR ANY LOSS OR CORRUPTION OF DATA ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN THE SERVICES, OR YOUR DOWNLOADING OF ANY MATERIALS, DATA, TEXT, IMAGES, VIDEO, OR AUDIO FROM THE SERVICES. NOTWITHSTANDING THE LIMITATION OF LIABILITY CONTAINED HEREIN, IN NO EVENT SHALL THE TOTAL LIABILITY OF CANON U.S.A. OR THE CANON GROUP COMPANIES TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICES.
You agree to indemnify, defend and hold Canon U.S.A., the Canon group companies, and all of their respective agents, directors, officers, employees, information providers, licensors and licensees (collectively "Indemnified Parties") harmless from and against any and all liability and costs and expenses (including, without limitation, attorneys' fees and costs), incurred by the Indemnified Parties in connection with your use of the Services or any claim in connection with or resulting from any breach by you of these Terms of Use. You agree to cooperate fully in Canon U.S.A.'s defense of any such claim. You agree that Canon U.S.A. shall be entitled to select its own counsel, at your expense, to defend it in connection with any claim subject to indemnification by you. You agree that Canon U.S.A., and not you, will have control over the defense of any such claim. You further agree that you will not in any event settle any matter involving Canon U.S.A., whether or not the settlement binds or is on behalf of Canon U.S.A., without the written consent of Canon U.S.A.
Canon U.S.A. may terminate these Terms of Use and/or suspend or terminate your access to the Services for any reason at any time without notice to you. If you wish to discontinue your access to the Services and cancel any account that you have been issued, please refer to the additional terms that apply to that particular subsite or service, as the case may be. Otherwise, applicable sections of these Terms of Use shall survive any termination of your account or these Terms of Use. In particular, because the licenses you grant to us are perpetual, these licenses survive any termination of these Terms of Use.
The Services, which are administered by Canon U.S.A., these Terms of Use, and the Other Agreements are governed and interpreted under the laws of the State of New York. You agree that any claim or dispute against Canon U.S.A. arising out of or relating to the use of the Services must be resolved by a court located in the Eastern District of New York, unless otherwise agreed upon by all parties. Any claim or cause of action arising out of or related to your use of the Services must be filed within one (1) year after such claim or cause of action arose, regardless of any statute or law to the contrary. In the event any such claim or cause of action is not filed within such one (1) year period, such claim or cause of action shall be forever barred.
These Terms of Use set forth the entire understanding and agreement between you and Canon U.S.A. with respect to the Services. You acknowledge that any other agreements between you and Canon U.S.A. with respect to the Services are superseded and of no force or effect. If any provision of these Terms of Use or the application of any provision is held to be determined to be unlawful, void, invalid, or for any reason unenforceable by a court or other legal authority of competent jurisdiction, then that provision will be severed from these Terms of Use and will be deemed replaced by an equivalent enforceable provision that, as nearly as possible, reflects the intent of the parties. The severance of any individual provision of these Terms of Use will not affect the validity and enforceability of any remaining provisions.
BY CONTINUING TO USE THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF USE.
